Licensed Members’ Voluntary Liquidation (MVL) Services in Malaysia

Orderly, tax-efficient solvent company winding up managed by MOF Approved Liquidators under the Companies Act 2016.

Members’ Voluntary Liquidation (MVL) is the official statutory process used to wind up a solvent company that has reached the end of its commercial life, fulfilled its purpose, or become redundant within a corporate group. Unlike striking off, MVL provides full legal finality and allows shareholders to distribute capital and surplus assets in a tax-effective, structured manner once all company liabilities are fully settled.

When Should You Choose MVL Over Striking Off?

While Section 549 striking off is suited for small dormant entities without assets or liabilities, MVL is recommended when:

    • The company holds significant capital, reserves, or real estate to distribute to shareholders.
    • You require a clean legal closure with formal creditor advertising to eliminate future contingent claims.
    • The business needs formal tax clearance (Form 66) from the Inland Revenue Board of Malaysia (LHDN).
